By accessing or using Phase Sight AI's services, including our website, hardware devices, and software platform (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Phase Sight AI provides HVAC monitoring hardware (the "Irvin" device) and an associated cloud software platform for diagnosing and predicting HVAC system performance. The Service is offered as a combination of one-time hardware purchases and ongoing software subscriptions.
You must be at least 18 years old and able to enter into binding contracts to use the Service. You agree to provide accurate information when creating an account and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

Pre-orders and purchases of Irvin devices are processed by Stripe. All sales are subject to availability and our pricing in effect at the time of order. Specific terms applicable to a given hardware purchase (warranty, return policy, shipping) are described at checkout and supersede any conflicting general terms here.
Software features may be offered on a subscription basis. Subscription fees, billing cycles, and feature lists are described on our pricing pages or in the order confirmation you receive at signup. Subscriptions auto-renew unless cancelled before the renewal date.
The Service, including all software, designs, documentation, and trademarks, is the exclusive property of Phase Sight AI or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. We retain all other rights.
Sensor data and diagnostic outputs generated from your Irvin devices belong to you, subject to our limited rights to use aggregated, anonymized data for product improvement.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. Irvin's diagnostic outputs are intended to support, not replace, licensed HVAC technicians' professional judgment.
To the maximum extent permitted by law, Phase Sight AI's total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold Phase Sight AI harmless from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be brought in the state or federal courts located in Virginia.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide additional notice as required by law. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
